1. Purpose

Society of True Light Limited (“the Company”) provides a confidential channel for any person to raise a concern about conduct at, or affecting, the Company. The Company takes every concern seriously and protects any person who raises a concern in good faith.

This summary applies to directors, committee members, staff, volunteers, beneficiaries, donors, partners, and members of the public.

2. What you can raise

You can use this procedure to raise a concern about:

  • a breach of any Company policy, including conflicts of interest, the staff and volunteer code of conduct, or anti-bribery rules;
  • harassment, discrimination, bullying, or vilification;
  • safeguarding concerns about beneficiaries, including children and adults at risk;
  • fraud, theft, misappropriation of funds, or other financial misconduct;
  • bribery, kickbacks, or corruption;
  • breach of Hong Kong law affecting the Company;
  • a danger to health or safety;
  • retaliation against a person who has raised a concern in good faith.
3. How to raise a concern

Choose the channel that fits the matter:

  • For matters within the workplace — raise the concern with the relevant committee lead or your immediate supervisor, where it is safe and appropriate to do so.
  • If the concern is not resolved, or it relates to a committee lead or a director — raise it in writing with the Chairperson at admin@true-light.asia, addressed to “the Chairperson, Society of True Light Limited”.
  • If the concern relates to the Chairperson, or the Chairperson does not act — raise it with any other director by writing to admin@true-light.asia, addressed to “Any Director, Society of True Light Limited”. It will be tabled at the next directors’ meeting, or sooner if the matter is serious.
  • External channels — for suspected corruption, contact the Independent Commission Against Corruption (ICAC) on 25 266 366; for suspected criminal conduct, the Hong Kong Police on 999 (emergencies) or 2527 7177; for personal-data breaches, the Office of the Privacy Commissioner for Personal Data; for employment matters, the Labour Department.
4. Anonymous reports

You may raise a concern anonymously. The Company takes anonymous reports seriously and investigates to the extent possible. The Company cannot promise the same level of feedback to an anonymous reporter. If you give your identity, you may ask that it be kept confidential to the investigator.

5. Confidentiality and non-retaliation

The Company keeps the identity of a reporter and the substance of a concern confidential to the smallest group needed to investigate and act.

Retaliation against a person who has raised a concern in good faith is itself a serious breach of this procedure. It is treated as misconduct under the staff and volunteer rules, or as grounds for removal under the Company’s Articles of Association.

“Good faith” means you genuinely believe the information you provide is true. The procedure protects good-faith reporters even if the concern is later not substantiated. Knowingly false or malicious reports are not protected.

6. What happens next
  • The recipient of the concern acknowledges receipt within 7 days.
  • The Chairperson (or, if conflicted, another director) decides who investigates, taking conflicts of interest into account, and may engage external counsel where the matter is serious or complex.
  • The investigator gives the person concerned about the alleged conduct a fair opportunity to respond before any decision is made.
  • The investigation is concluded as quickly as the circumstances allow, normally within 30 days.
  • Possible outcomes include no action, coaching, written warning, role reassignment, suspension, dismissal, removal as a director, recovery of misappropriated funds, or referral to a regulator or law-enforcement authority.
  • The reporter is informed of the outcome in summary form, where doing so is consistent with the rights of any other person involved.
7. Records

The Company Secretary keeps a confidential register of concerns raised, investigation steps, and outcomes. Records are kept for at least seven years.

This procedure is reviewed by the directors annually.

2. 可提出之事項

閣下可就以下事項使用本程序提出關注:

  • 違反本社任何政策,包括利益衝突、員工及義工行為守則或反賄賂規則;
  • 騷擾、歧視、欺凌或誹謗;
  • 對服務受益人之保護關注,包括兒童及高危成年人;
  • 詐騙、盜竊、挪用款項或其他財務失當行為;
  • 賄賂、回佣或貪污;
  • 違反影響本社之香港法律;
  • 對健康或安全造成危險;
  • 對真誠提出關注之人士作出之報復行為。
3. 如何提出關注

請按事項性質選擇合適渠道:

  • 工作場所內部事宜 — 在安全及合適之情況下,向相關委員會主管或閣下之直屬上司提出。
  • 如未獲解決,或事項涉及委員會主管或董事 — 請以書面方式向主席提出,電郵至 admin@true-light.asia,並註明收件人為「Society of True Light Limited 主席」。
  • 如事項涉及主席本人,或主席未有採取行動 — 請向任何其他董事提出,電郵至 admin@true-light.asia,並註明收件人為「Society of True Light Limited 任何董事」。事項會在下次董事會議上提出,若情況嚴重則更早處理。
  • 外部渠道 — 懷疑貪污可聯絡廉政公署 (ICAC):25 266 366;懷疑刑事行為可聯絡香港警務處:999(緊急)或 2527 7177;個人資料外洩可聯絡個人資料私隱專員公署;僱傭事宜可聯絡勞工處
4. 匿名舉報

閣下可匿名提出關注。本社會認真處理匿名舉報,並會盡可能進行調查;惟匿名舉報人未必能獲得與具名舉報人相同程度之回覆。如閣下提供身份,可要求僅向調查人員披露身份。

5. 保密及防止報復

本社會將舉報人之身份及關注之內容保密至調查及採取行動所需之最小範圍。

對真誠提出關注之人士作出報復,本身即屬嚴重違反本程序。 此類行為會依員工及義工守則作為失當行為處理,或構成依本社組織章程罷免相關人士之理由。

「真誠」是指閣下真心相信所提供之資料屬實。即使有關關注其後未獲證實,本程序亦會保障真誠提出之舉報人。明知虛假或惡意之舉報則不受保障。

6. 後續處理
  • 收件人會於7 日內確認收到關注。
  • 主席(或如主席有利益衝突則由另一董事)會考慮利益衝突,決定由誰負責調查;事件嚴重或複雜者,可委聘外部法律顧問。
  • 調查人員會在作出任何決定前,給予被指控人士公平回應之機會。
  • 調查會在情況許可下盡快完成,一般於 30 日內結案。
  • 可能之處理結果包括:不採取行動、輔導、書面警告、職務調動、停職、解僱、罷免董事、追討被挪用之款項,或轉介監管機構或執法機構。
  • 舉報人會獲告知處理結果之摘要,惟以不損害其他涉事人士權益為前提。
7. 紀錄

公司秘書會備存一份保密之關注登記冊,記錄所提出之關注、調查步驟及處理結果,並會保留紀錄至少七年。

8. 檢討

本程序由董事每年檢討一次。
